Welcome to Thaarei Ventures LLP ("Thaarei", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website at thaarei.com, our products (including Turnstile 360, Logique 360, SalesOS, Grula, LMS, Connector, and Kids Turnstile), and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Definitions

  • "Services" refers to all products, software, applications, website, and related services provided by Thaarei Ventures LLP.
  • "User", "You", "Your" refers to any individual or entity accessing or using our Services.
  • "Content" refers to all text, data, information, software, graphics, and other materials available through our Services.
  • "User Content" refers to any content, data, or information that you submit, upload, or transmit through our Services.
  • "Subscription" refers to any paid plan that grants you access to premium features of our products.

2. Account Registration

Certain features of our Services require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the confidentiality of your account credentials and accept responsibility for all activities under your account.
  • Notify us immediately of any unauthorized use of your account or any other security breach.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services in any way that violates any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.
  • Upload or transmit any viruses, malware, or other harmful code.
  • Use the Services to infringe upon the intellectual property rights of others.
  • Reverse engineer, decompile, or disassemble any part of our software or Services.
  • Use automated tools (bots, scrapers) to access the Services without our written permission.
  • Resell, sublicense, or redistribute access to the Services without authorization.

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our Services — including but not limited to software, text, graphics, logos, icons, images, audio, video, and the overall design — are owned by Thaarei Ventures LLP and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

The Thaarei name, logo, and all related product names (Turnstile 360, Logique 360, SalesOS, Grula, LMS, Connector, Kids Turnstile), logos, and slogans are trademarks of Thaarei Ventures LLP. You may not use these marks without our prior written permission.

4.2 Your Content

You retain ownership of any User Content you submit through our Services. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing and improving our Services.

5. Subscriptions & Payments

5.1 Pricing

Some of our products are offered on a subscription basis. Pricing, features, and plan details are displayed on the respective product pages or communicated during the sales process. All prices are exclusive of applicable taxes unless stated otherwise.

5.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. Payment is due upon invoice and must be made through our accepted payment methods. Late payments may result in service suspension.

5.3 Refund Policy

We offer a 14-day refund window from the date of initial purchase for new subscriptions. Refund requests must be submitted in writing to communications@thaarei.com. Refunds are not available for renewals or after the 14-day period.

6. Service Availability & SLA

We strive to maintain 99.9% uptime for all our cloud-hosted products. However, we do not guarantee uninterrupted access to the Services. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime caused by:

  • Force majeure events (natural disasters, government actions, pandemics).
  • Third-party service provider outages beyond our control.
  • Your network connectivity or hardware issues.
  • Scheduled maintenance with prior notice.

7. Data Handling & Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the data practices described in our Privacy Policy.

For enterprise customers, additional data processing agreements (DPAs) may be executed to address specific compliance requirements (e.g., GDPR, HIPAA, DPDPA).

8. Limitation of Liability

To the maximum extent permitted by applicable law, Thaarei Ventures LLP and its directors, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, data, or business opportunities.
  • Any damages arising from your use of or inability to use the Services.
  • Any unauthorized access to or alteration of your data or transmissions.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount paid by you to Thaarei in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that any defects will be corrected or that the Services are free of viruses or other harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thaarei Ventures LLP, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  • Any User Content you submit through the Services.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Services will immediately cease.
  • We may delete your account and User Content after a 30-day grace period.
  • You may request an export of your data within the grace period.
  • Any accrued obligations and rights that by their nature should survive will continue to apply.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If negotiation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will provide notice through the Services or via email. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

14. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Thaarei regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
  • Force Majeure: Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control.
